Mergers and acquisitions that involve small business government contractors carry many regulatory and industry-specific considerations that can impact all aspects of the deal. And an important element is effectively transferring any contracts to maintain the target company’s value. Two steps that can cause uncertainty in this process are novation and recertification. Novation is required for the transfer or assignment of a federal government contract from one entity to another. And, once the deal has gone through, a target company that is small or of a certain socio-economic status must typically recertify their size or socio-economic status within 30 days.
